Terms of Service

These Terms of Service govern your use of the software products, apps and related services (the “Services”) provided by Ventura Foundry. Please read them carefully.

1. Who we are

The Services are provided by Ventura Foundry GmbH (in formation), Kaiserstraße 80/23, 1070 Vienna, Austria, email office@ventura.at (“Ventura Foundry”, “we”, “us”). When you use the Services, your contract for their use is with us. Individual products may have additional product-specific terms; where they conflict with these Terms, the product-specific terms prevail for that product.

2. Acceptance

By creating an account, purchasing a subscription or otherwise using the Services, you agree to these Terms. If you use the Services on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf. Your continued use of the Services after a change to these Terms takes effect (see section 17) means that you accept the updated Terms.

3. Prices and payment

Prices are shown before you purchase and include applicable taxes unless stated otherwise. Payments are processed by our payment service providers; we do not store your full payment card details. Invoices are provided electronically.

4. Accounts

You must provide accurate information when you register and keep it up to date. You are responsible for keeping your login credentials confidential and for all activity under your account. Please tell us immediately at office@ventura.at if you suspect unauthorised use. You must be at least 18 years old, or have the consent of a legal guardian, to use the Services.

5. Subscriptions, renewal and cancellation

  • Fees and billing: paid plans are billed in advance for the selected billing period (for example monthly or annually) at the price shown at checkout, including applicable taxes.
  • Renewal: subscriptions renew automatically at the end of each billing period until cancelled.
  • Cancellation: you can cancel at any time in your account or by emailing us. Cancellation takes effect at the end of the current billing period; you keep access until then.
  • Free trials: if a plan includes a free trial, it converts into a paid subscription at the end of the trial unless you cancel before it ends.
  • Price changes: we will notify you of price changes at least 30 days before they apply to your next renewal. If you do not agree, you can cancel before the renewal.

Statutory consumer rights, including any right of withdrawal, remain unaffected.

6. Acceptable use

You may not use the Services to:

  • break any law or regulation, or violate the rights of others;
  • commit fraud, send spam or distribute unsolicited messages;
  • infringe intellectual property, privacy or other rights;
  • upload or spread malware, or interfere with the security or integrity of the Services, including probing, scanning or testing vulnerabilities without our written permission;
  • scrape, crawl or extract data from the Services by automated means, except through interfaces we provide for that purpose;
  • reverse engineer, resell or sublicense the Services, or use them to build a competing product;
  • overload the Services or circumvent usage limits or access controls.

7. AI features

Some Services use artificial intelligence to generate content, analyses or suggestions (“Output”) based on your input (“Input”).

  • Accuracy: Output is generated automatically and may be incomplete, inaccurate or outdated. It is not legal, financial, medical, tax or other professional advice, and must not be relied on for such decisions without qualified human review.
  • Your responsibility: you are responsible for your Input, for checking Output before using it, and for how you use it. You confirm that you have the necessary rights to the Input you provide.
  • Prohibited content: you may not use AI features to create or distribute illegal content; sexual content involving minors or non-consenting persons, including deepfakes; content that is hateful, harassing or violent; malware; personal data of others without a legal basis (including doxxing); deceptive content intended to mislead or impersonate; or to circumvent safety measures (“jailbreaking”).
  • Ownership: as between you and us, you retain your rights in your Input, and to the extent permitted by law you own the Output generated for you. Similar Output may be generated for other users.
  • Moderation and takedown: we may review, block or remove Input or Output that violates these Terms or the law. If you believe content on our Services infringes your rights, report it to office@ventura.at with details of the content and your claim; we will review it promptly and remove infringing content. Repeat infringers may have their accounts terminated.

8. Your content and data

You retain all rights to the data and content you submit to the Services. You grant us a non-exclusive, worldwide licence to host, process and display that content solely to provide, secure and improve the Services for you. We process personal data in accordance with our Privacy Notice. Business customers can request a data processing agreement (Art. 28 GDPR).

9. Our intellectual property

The Services, including software, designs, trademarks and documentation, are owned by Ventura Foundry and its licensors and protected by intellectual property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Services for the duration of your subscription. All rights not expressly granted remain with us.

10. Availability and changes to the Services

We work hard to keep the Services available and reliable, but we do not guarantee that they will be uninterrupted, error-free or available at all times. Maintenance, updates or circumstances beyond our control may cause interruptions. We may develop, change or discontinue features; we will not materially reduce the core functionality of a paid plan during a billing period you have already paid for, and will give reasonable notice of significant changes.

11. Warranty

If you are a consumer, the statutory warranty rights apply. If you are a business, the Services are provided “as is” and “as available” to the extent permitted by law, without further warranties.

12. Liability

We are liable without limitation for damage caused intentionally or through gross negligence, for personal injury, and wherever liability cannot be limited by law. In cases of slight negligence, we are not liable, except for personal injury. For business customers, our total liability in any twelve-month period is limited to the fees paid for the Services in that period. Nothing in these Terms limits mandatory consumer protection rights.

13. Indemnity

You agree to indemnify us against claims by third parties, and the reasonable costs of defending them, arising from your breach of these Terms, your unlawful use of the Services or content you submit, to the extent you are responsible for the breach. For consumers this applies only to the extent permitted by law.

14. Suspension and termination

We may suspend or terminate your access, with notice where reasonable, if you materially breach these Terms, fail to pay fees due, pose a security or fraud risk, or repeatedly or seriously violate these Terms or the law. You may stop using the Services and cancel your subscription at any time.

Consequences: when your subscription ends or your account is terminated, your access to the Services ends. You can export your data during your subscription and for 30 days after it ends; after that we delete it, except where we are legally required to retain it. Sections that by their nature should survive termination – including 7, 9, 12, 13 and 18 – continue to apply.

15. Force majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, such as natural disasters, pandemics, war, strikes, power or internet outages, or failures of third-party infrastructure providers.

16. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliated company or to a successor in connection with a merger, acquisition or sale of assets, provided your rights under these Terms are not reduced.

17. Changes to these Terms

We may update these Terms, for example to reflect new features or legal requirements. We will notify you of material changes by email or in the product at least 30 days before they take effect. If you do not agree, you may cancel before the changes take effect; otherwise, your continued use means you accept the updated Terms.

18. Governing law and disputes

These Terms are governed by Austrian law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live. For business customers, the competent court in Vienna, Austria, has exclusive jurisdiction. For consumers, the statutory jurisdiction rules apply.

If you have a complaint, please contact us first at office@ventura.at – we aim to resolve every issue amicably. We are not obliged to take part in dispute resolution proceedings before a consumer arbitration board.

19. Final provisions

If any provision of these Terms is found invalid or unenforceable, the remaining provisions stay in effect. These Terms are available in English and German; both versions are equally valid.
